These Terms of Use ("Terms") govern your access to and use of the website and the Smart Order AI platform (the "Service") provided by "S-PLATFORM AI" LLC ("S-Platform", "we", "us"). By accessing or using the Service, you agree to these Terms.
1.The Service
Smart Order AI is a business-to-business software platform for FMCG sales operations, including order management, route planning, analytics, and related features. We may add, change, or remove features over time.
2.Eligibility and accounts
The Service is intended for businesses and their authorised representatives. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and notify us promptly of any unauthorised use.
3.Acceptable use
You agree not to:
- use the Service in violation of any applicable law or regulation;
- attempt to gain unauthorised access to the Service, other accounts, or our systems;
- interfere with or disrupt the integrity or performance of the Service;
- reverse engineer, copy, or resell the Service except as permitted by law;
- upload malicious code or unlawful, infringing, or harmful content.
4.Customer data and ownership
You retain all rights to the data you and your organisation submit to the Service ("Customer Data"). You grant us a limited licence to process Customer Data solely to provide and support the Service, as described in our Privacy Policy. We claim no ownership over Customer Data.
5.Intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by S-Platform or its licensors and is protected by intellectual property laws. These Terms do not grant you any right to our trademarks or branding without prior written consent.
6.Pilots, fees, and trials
Specific commercial terms — including pilot scope, fees, and subscription conditions — are set out in a separate order form or agreement between you and S-Platform. Pilot or trial access may be provided on an "as is" basis and may be modified or withdrawn.

The Service relies on third-party providers, including hosting (Hetzner, EU/Finland) and AI processing (Anthropic, PBC, USA). Your use of the Service is also subject to the relevant obligations described in our Privacy Policy.

To the maximum extent permitted by applicable law, S-Platform shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or related to your use of the Service. Our total aggregate liability shall not exceed the amounts paid by you to us for the Service in the twelve (12) months preceding the claim.
10.Indemnification
You agree to indemnify and hold harmless S-Platform from any claims, damages, or expenses arising from your breach of these Terms or your unlawful use of the Service.
11.Term and termination
We may suspend or terminate access to the Service if you breach these Terms or if required by law. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive termination will survive.
12.Governing law
These Terms are governed by the laws of the Republic of Uzbekistan, without regard to conflict-of-law principles, unless otherwise agreed in a separate written agreement. Mandatory consumer or data-protection rights in your jurisdiction remain unaffected.
13.Changes to these Terms
We may update these Terms from time to time. The "Last updated" date above reflects the latest revision. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
